Mortgage brokerage business based in South East Queensland being sold with the database, trail income, full contact list, email address, website plus a warm handover from the owner to the database. The business has been in operation since 2012. This brokerage has a competent, permanent part time VA.

The book is predominately residential lending with a mix of owner occupied and investment clients. The clients are a good mix of self employed and PAYG. CONFIDENTIALITY & NON-CIRCUMVENTION AGREEMENT. Parties: This Agreement is made between Business Classifieds Pty Ltd (ACN 130 005 426) ATF Business Classifieds Trust ("the Agent"), and The undersigned recipient ("the Recipient"). (1) Interpretation: For the purposes of this Agreement: "Business/Property" means the business and/or assets and/or property referred to by the Agent and/or described in any document, advertisement, memorandum, or agreement provided by the Agent. "Confidential Information" means all information, documents, data, forecasts, statements, and material (whether written, verbal, or electronic) disclosed by the Agent or the Seller in connection with the Business/Property, excluding information which is in the public domain other than through a breach of this Agreement. "Seller" means the party who owns or controls the Business/Property, and includes their heirs, executors, administrators, successors, assigns, or any related entity. "Recipient" means the individual or entity receiving Confidential Information, and includes its officers, employees, advisors, agents, representatives, successors, and assigns. Words denoting the singular include the plural and vice versa. Obligations bind parties jointly and severally. (2) Confidentiality Obligations: The Recipient agrees: (a) to keep all Confidential Information strictly confidential; (b) not to disclose any Confidential Information to any person without the prior written consent of the Agent, except to professional advisors (lawyers, accountants, or financiers) who require such information for the purpose of assessing the Business, provided such advisors are also bound by equivalent confidentiality obligations; and (c) to return or permanently delete all Confidential Information, including any copies, notes, or electronic records, upon request or immediately upon the Recipient electing not to proceed with the acquisition of the Business. (3) Non-Circumvention & Commission Protection: (a) The Recipient acknowledges that the Agent is the introducing party and the effective cause of all dealings with the Seller, (b) The Recipient agrees not to approach the Seller, directly or indirectly, or attempt to negotiate, purchase, lease, invest in, or otherwise acquire any interest in the Business/Property, except through the Agent, unless otherwise agreed in writing by the Agent, (c) The Recipient must not: (i) bypass, avoid, or circumvent the Agent in any dealings with the Seller; (ii) assist any other party to do so; or (iii) take any action that interferes with or diminishes the Agent's entitlement to commission, (d) If the Recipient, or any related entity, nominee, associate, or advisor of the Recipient, acquires any interest in the Business/Property, whether directly or indirectly, the Recipient agrees the Agent is deemed to be the effective cause of the transaction and the Agent's full commission is payable by the Seller in accordance with their agency agreement, (e) If the Recipient is found to have breached this clause, the Recipient agrees to indemnify the Agent against any loss, commission, costs, or damages suffered as a result of such breach.*

ANTI-MONEY LAUNDERING (AML) & COUNTER-TERRORISM FINANCING (CTF) AGREEMENT. Anti-Money Laundering & Counter-Terrorism Financing. The Recipient acknowledges that the Agent is a reporting entity under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) ("AML/CTF Act") and is required to conduct customer due diligence as a condition of providing its services. (1) The Recipient agrees to: (a) provide accurate and complete information to enable the Agent to verify the Recipient's identity and, where required, the identity of any beneficial owner or controlling person on whose behalf the Recipient is acting; (b) disclose the intended source of funds for the proposed acquisition; (c) provide supporting documentation evidencing the source of funds and/or source of wealth upon request by the Agent; (d) disclose whether the Recipient is, or is associated with, a Politically Exposed Person (PEP) or is listed on any sanctions register; (e) promptly provide any additional verification documents reasonably requested by the Agent to satisfy its obligations under the AML/CTF Act or any related legislation. (2) The Recipient confirms that all information provided to the Agent is true, accurate, and complete, and acknowledges that the Agent may be unable to provide services, or may be required to suspend or terminate services, if satisfactory customer due diligence cannot be completed. (3) The Recipient acknowledges that the Agent is prohibited by law from disclosing certain compliance-related actions, including the filing of any Suspicious Matter Report (SMR) with AUSTRAC, and the Recipient agrees not to take any action that may impede the Agent's compliance with its legal obligations.*
